RAINGEAR – TERMS AND CONDITIONS (Revised November 12, 2025) EFFECTIVE DATE These Terms & Conditions shall take effect on the date Raingear (“Raingear”) notifies the entity completing the online application (“you”) that Raingear has accepted you into its dealer program. These Terms & Conditions shall be of no force or effect unless and until you receive Raingear’s acceptance email. NONEXCLUSIVE APPOINTMENT Raingear appoints you as a nonexclusive reseller of Raingear automobile parts within the United States and internationally, subject to applicable local, state, federal, and international laws and regulations. DURATION OF AGREEMENT These Terms & Conditions shall continue indefinitely unless terminated by either party, with or without cause, upon notice to the other party. DEALER QUALIFICATIONS To qualify as a Raingear dealer, you must remain a validly licensed automotive business and legally established in your jurisdiction, and upload applicable business validation documents. APPROVED PAYMENT METHOD Credit card payments are accepted (AmEx, Visa, MasterCard, Discover) and charged upon order receipt. ORDER PLACEMENT Preferred ordering is through raingearwipers.com, with email backup at sales@raingearwipers.com. Dealer orders ship to the approved commercial shipping address. ORDER CHANGES & CANCELLATIONS Contact Raingear immediately for changes. Shipped orders cannot be canceled. RETURN POLICY AND OTHER RAINGEAR POLICIES Orders are subject to current Raingear policies, including shipping, returns, and MAP policy. WARRANTIES Raingear warrants shipped products conform to order make, model, and quantity. LIMITATION OF LIABILITY Raingear is not liable for indirect, incidental, special, consequential, or punitive damages. GOVERNING LAW Governed by Arizona law with venue in Maricopa County, Arizona. ASSIGNMENT No assignment without prior written consent, except qualifying merger/acquisition events. INDEMNIFICATION Dealer indemnifies Raingear for third-party claims tied to dealer breach or negligent/willful acts. INTELLECTUAL PROPERTY Raingear retains all IP rights. Approved logo use only; no unauthorized copy/photo use. By submitting this application, applicant acknowledges and agrees to the Terms & Conditions, Dealer Agreement, and Customer Agreement.
